By accessing and using Stratifyre ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these terms, you may not use the Service.
Subject to your compliance with these Terms and payment of applicable subscription fees, Stratifyre grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the platform for your personal or internal business trading purposes. Stratifyre is a software-as-a-service (SaaS) provider, and you do not acquire any ownership rights to the platform or underlying code.
Stratifyre is a software technology provider, not a registered broker-dealer, financial advisor, or investment company.Nothing on the Service, including any algorithms, indicators, AI-generated strategies, or backtest results, constitutes financial, investment, legal, or tax advice. No content published on the Service constitutes a recommendation that any particular security, portfolio, or strategy is suitable for any specific person. You are solely responsible for your own investment decisions.
Trading in financial markets involves a high degree of risk and may not be suitable for all investors. You could lose some or all of your initial investment. Past performance of any trading system, methodology, or strategy (including backtesting results simulated on historical data) is not necessarily indicative of future results. Backtested results are hypothetical, generally formulated with the benefit of hindsight, and do not represent actual trading. Stratifyre is not liable for any losses incurred through trading.
Stratifyre features tools that utilize Artificial Intelligence (AI) to generate executable trading rules from natural language. You acknowledge that AI technologies are experimental and can produce incorrect, illogical, or unintended outputs ("hallucinations"). You are entirely responsible for reviewing, testing, and verifying the accuracy and safety of any AI-generated strategy before deploying it to live or paper trading. Stratifyre assumes no liability for the performance or behavior of strategies generated via AI.
The Service relies on third-party providers for historical and real-time market data. Market data is provided on an "as is" and "as available" basis. Stratifyre does not warrant the accuracy, timeliness, or completeness of any market data. Furthermore, while we strive for high uptime, Stratifyre does not guarantee that the Service will be uninterrupted or error-free. We are not responsible for trading losses, missed opportunities, or slippage resulting from system downtime, latency, or delayed/inaccurate market data.
Stratifyre allows you to connect to third-party brokerages and exchanges via APIs to execute trades. Stratifyre acts solely as a routing intermediary and does not execute trades directly. We are not responsible for any issues arising from third-party brokerages, including API outages, rate limits, rejected orders, platform failures, or the changing of broker terms. You are responsible for maintaining the security of your API keys.
You agree to use the Service in compliance with all applicable local, state, national, and international laws, rules, and regulations, including those of relevant financial exchanges. You shall not use Stratifyre to engage in any form of market manipulation, spoofing, wash trading, insider trading, or any other illegal or prohibited activity. Stratifyre reserves the right to immediately suspend or terminate your account without notice if we suspect violations of this clause, and we may report such activities to regulatory authorities.
Certain features of the Service are billed on a subscription and usage basis. By providing a payment method, you authorize Stratifyre (via our payment processor, Stripe) to charge applicable fees on a recurring basis. All fees are non-refundable unless otherwise required by law. We reserve the right to change our pricing, adjust spending caps, or modify usage limits with prior notice.
In no event shall Stratifyre, its directors, employees, or suppliers be liable for any direct, indirect, incidental, special, consequential, or punitive damages (including, without limitation, financial trading losses, loss of profits, data loss, or business interruption) arising out of the use or inability to use the Service, even if Stratifyre has been advised of the possibility of such damages.
You agree to defend, indemnify, and hold harmless Stratifyre, its affiliates, employees, and officers from any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your trading activities, or your use of the Service.
Stratifyre may revise these terms of service for its website at any time without notice. By using this website you are agreeing to be bound by the then current version of these terms of service.
The governing law and forum for these Terms will be determined by Stratifyre's applicable legal entity terms or any written agreement between you and Stratifyre. This section does not designate a specific jurisdiction until Stratifyre publishes or provides that jurisdiction in finalized legal terms.
